CORPORATE LAW
Corporate law in Brazil is principally governed by the Brazilian Civil Code (Law No. 10,406/2002) and the Law of Corporations (Law No. 6,404/1976). Legal services in this field include the incorporation of legal entities, the drafting and revision of corporate governance documents—such as articles of incorporation, bylaws, and shareholder agreements—and the structuring of capital frameworks for various business organizations, including limited liability companies (sociedades limitadas – Ltda.) and corporations (sociedades anônimas – S.A.).
Corporate attorneys provide strategic legal counsel on mergers and acquisitions, joint ventures, corporate reorganizations, and legal due diligence. They ensure regulatory compliance with frameworks established by the Brazilian Securities and Exchange Commission (CVM) and other oversight bodies. Legal representation also encompasses corporate litigation, arbitration proceedings, and the resolution of shareholder and partnership disputes.
Additional legal services include board advisory, the development and implementation of corporate compliance programs, and the registration of foreign capital investments with the Central Bank of Brazil (BACEN). Attorneys also offer guidance on anti-corruption compliance in accordance with Law No. 12,846/2013, thereby supporting the legal and ethical integrity of corporate operations in both domestic and international contexts.
